Access to certain services may be restricted depending on local laws. Virelis operates from Singapore and tailors services to clients who can lawfully receive legal advice from us.
Account and Access

Accounts are personal and non-transferable unless expressly agreed in writing by Virelis. Any assignment without consent is void.
If you suspect unauthorized use of your account, contact us immediately so we can take steps to secure the account and contribute unusual activity.
Virelis may suspend or restrict access to accounts that violate these Terms, are involved in suspicious activity, or at the request of law enforcement or regulators.
Scope of Services
Virelis provides legal advisory services focused on IT companies, including contract drafting and review, regulatory compliance, intellectual property strategy, and commercial negotiations. Scope and deliverables are set out in engagement letters or service agreements.
We may modify service offerings or introduce new features. Changes to a contracted engagement are subject to mutual agreement and documented amendments.
While we aim to provide reliable service, access to the website and scheduling of advisory sessions may be affected by maintenance, third-party outages, or unforeseen events. We will communicate planned downtimes in advance where practicable.
User Conduct and Rules
Clients and users must follow rules that protect our team, other users, and the integrity of services. Unacceptable conduct may lead to restrictions or termination of access.

Client Materials and Content
When you provide documents, data, or other materials (
You retain ownership of your pre-existing intellectual property and documents. By providing content to Virelis you confirm you have the rights to do so and to receive legal advice based on that material.
You grant Virelis a limited, revocable license to use, reproduce and process user content solely for the purpose of delivering services under the engagement.
You are responsible for removing or redacting sensitive information not needed for the engagement and for ensuring that sharing the materials does not breach confidentiality obligations to third parties.
On termination or completion of services, Virelis will retain or destroy client materials in accordance with the engagement agreement and applicable data retention policies.
Intellectual Property
All intellectual property created by Virelis in the course of providing services remains Virelis property unless otherwise agreed in writing. Clients receive the rights necessary to use deliverables for the intended business purposes as set out in the engagement terms.
- Do not reproduce or distribute Virelis proprietary templates, know-how, or internal methodologies without permission.
- Client use of deliverables is limited to the scope defined in the engagement; broader use requires written consent and may incur additional fees.
- Any third-party materials embedded in deliverables are subject to their own licensing terms; clients are responsible for complying with those terms.
Paid Services
Paid services include advisory sessions, contract drafting, compliance audits, and retainer arrangements. Specifics of scope, timelines, and fees are set out in engagement letters or service proposals.
Pricing is based on the complexity of the engagement, estimated hours, and any specialist input required. Fees are presented upfront in proposals and invoiced as agreed.
Payments are due according to invoicing terms in the engagement letter. Accepted methods and payment instructions will be specified in invoices.
Subscription or retainer models may be offered for ongoing advisory support. Terms, notice periods, and service limits are defined in subscription agreements.
Refunds or credits are handled on a case-by-case basis in line with the engagement agreement and applicable consumer protection laws. We work to resolve billing concerns promptly.
Either party may terminate an engagement in accordance with the notice terms in the engagement letter. Outstanding fees for work performed up to termination remain payable.
Clients are responsible for any taxes applicable to services in their jurisdiction. Where required, invoices will include applicable taxes in accordance with Singapore law.
Virelis may adjust pricing for new engagements; existing contracted fees remain subject to the terms of the relevant engagement letter.
Failure to pay may result in suspension of services, withholding of deliverables, or termination of the engagement, subject to the terms in the engagement agreement.
Professional Disclaimer
Advice provided by Virelis is for the client’s use only and based on information available at the time. Legal outcomes depend on specific facts and applicable law; our guidance aims to reduce legal risk and inform commercial decisions.
Limitation of Liability
Our liability for direct losses arising from our services is limited to the fees paid for the specific engagement, except where excluded by applicable law. We are not liable for indirect, consequential, or punitive damages that may arise from use of our advice.
Third-Party Services
We may engage third-party providers to support service delivery. Use of third parties will be disclosed where appropriate, and we seek to ensure they meet reasonable standards for confidentiality and security.
Termination
Either party may terminate an engagement in accordance with the termination provisions in the engagement letter. Immediate termination may occur for material breach or where continued engagement would contravene law or professional ethics.
On termination, outstanding fees become due and parties must return or secure confidential materials. Provisions around liability, confidentiality, and post-termination obligations survive termination as specified in the engagement.
Privacy and Data Handling
Our privacy practices align with the commitments set out in our Privacy Policy. Client confidentiality is a core principle; we apply safeguards and limit access to client data within our team and authorized service providers.
Communications
Virelis will communicate via email, phone, and secure client portals as required. You consent to receiving service-related communications by these channels. Urgent matters should be raised by phone where immediate attention is needed.
Changes to Terms
We may update these Terms to reflect legal, operational, or business changes. Updated Terms will be published with a revised effective date. Continued use of services after changes indicates acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of Singapore. Parties submit to the exclusive jurisdiction of Singapore courts for disputes arising under these Terms, unless otherwise agreed in writing.
Dispute Resolution
We seek to resolve disputes collaboratively through negotiation and, where appropriate, mediation. If resolution cannot be reached, disputes will be handled by the courts in Singapore as specified in the governing law clause.
